Terms of Service

Last Updated: October 18, 2026

Version: 2026-10-18

These Terms of Service (“Terms”) are an agreement between SKU Compass Inc., a Delaware corporation (“SKU Compass”, “we”, “us”), and the business that creates a SKU Compass account (“Customer”, “you”). Customers of our earlier SKU Compass platform, which is being retired, are served by Tessa’s Kitchen LLC, doing business as SKU Compass, on these same Terms until that platform is retired.

By creating an account, starting a trial, or using the Service, you agree to these Terms on behalf of your business, and you confirm you’re authorized to do so. The Service is for businesses, not consumers.

1. The Service

1.1 SKU Compass is inventory forecasting and operations software for online sellers. It includes inventory and sales analysis, reorder planning, purchase orders, and connections to the sales channels you choose to connect (the “Service”).

1.2 Recommendations, not decisions. The Service, including its AI assistants (Section 6), gives you analysis and recommendations. You decide what to order, ship, price or list. We don’t place orders, spend money, or contact your suppliers or customers for you.

1.3 Beta features. Some features are labelled beta or offered only to selected customers. They’re provided as-is and may change or end.

2. Your account

2.1 You’re responsible for your account, for everyone you invite to it, and for keeping sign-in credentials secure. Tell us promptly at security@skucompass.com if you suspect unauthorized access.

2.2 Keep your account and billing information accurate and up to date.

2.3 Your account’s owners and admins control who can access your business’s data in the Service, and with which role.

3. Trial, subscription and payment

3.1 Trial. New accounts can start a 30-day free trial with no payment method required. About 3 days before your trial ends, we’ll email you a reminder. If you don’t want to continue, cancel before the trial ends and you won’t be invoiced. If you continue without a payment method on file, we email you an invoice for your first billing period when the trial ends. Nothing is charged automatically unless you’ve added a payment method.

3.2 Fees. After the trial, fees are based on your monthly order volume as shown on our pricing page at the time you subscribe. Prices exclude taxes, which you pay unless you give us a valid exemption.

3.3 Billing. We bill through our payment processor, Stripe. You authorize recurring charges to your payment method until you cancel.

3.4 Price changes. We’ll give you at least 30 days’ notice of a price increase. It applies from your next billing period after the notice.

3.5 Unpaid invoices and failed payments. If an invoice isn’t paid or a payment fails, your access continues for 7 days. After that, access is restricted until the amount is paid, and we may cancel a subscription that stays unpaid.

3.6 Cancellation and refunds. You can cancel at any time in Settings or by emailing support@skucompass.com. Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable, except where the law requires otherwise or we’re in breach of these Terms.

3.7 Subscriptions through the Shopify App Store. If you subscribe through the Shopify App Store, Shopify bills the fees under its own terms, and you cancel by uninstalling the app or changing your plan in Shopify. Everything else in these Terms applies.

4. Your data

4.1 You own your data. “Customer Data” is the data you or your connected channels provide to the Service, including catalogue, inventory, order, supplier and purchase data, and what your users type into it. As between us, you own it.

4.2 How we use it. You permit us to host, process, copy and display Customer Data only to provide, secure, support and improve the Service for you, and as our Privacy Policy describes. We don’t sell Customer Data, and we don’t use one customer’s data to benefit another customer.

4.3 Personal data. Our Privacy Policy explains how we handle personal data. Where we process personal data on your behalf (for example, your marketplace buyers’ order details), we do so only to provide the Service to you, on your instructions, and as our Privacy Policy describes.

4.4 Security. We maintain reasonable administrative, technical and physical safeguards for Customer Data, as described in our Privacy Policy.

4.5 Export and deletion. While your account is active, you can export reports and data tables (for example as CSV or Excel) where the Service offers it. If you disconnect a channel or close your account, we delete the related data as our Privacy Policy describes. If you ask us in writing at privacy@skucompass.com, we delete your data within 7 days of your verified request, and copies in our encrypted backups expire within a further 7 days.

5. Connected channels

5.1 When you connect a sales channel (such as Amazon, Shopify, eBay or TikTok Shop), you authorize us to access that account through the channel’s official APIs, with the permissions shown when you connect, to provide the Service.

5.2 Your use of each channel stays subject to that channel’s own terms. SKU Compass isn’t affiliated with, endorsed by, or an agent of any channel unless we say so explicitly.

5.3 Channels can change or withdraw their APIs. We aren’t responsible for a channel’s availability, data accuracy or actions, and a feature that depends on a channel may change or stop if the channel changes.

5.4 You can disconnect a channel in Settings where the Service offers it, or by emailing support@skucompass.com. You can also remove our app in the channel’s own settings.

6. AI features

6.1 The Service includes AI assistants (currently named Marcus and Rex). They’re software, not people, and they’re labelled “AI” in the Service.

6.2 Each user must agree to their use separately in the Service, where we explain what’s saved, who can see it, and which AI provider processes it. A user who declines can still use the rest of the Service.

6.3 AI output can be wrong. It’s a recommendation for a person to check. You’re responsible for decisions you make with it, including anything you choose to send to suppliers or customers.

6.4 We don’t use your Customer Data to train AI models offered to other customers.

7. Acceptable use

You won’t, and won’t let anyone using your account:

(a) use the Service unlawfully, or in breach of a channel’s terms;

(b) upload malware, or try to break, probe or overload the Service, or get around its security or usage limits;

(c) access another customer’s data, or share your account with another business;

(d) reverse-engineer the Service, except where the law allows it;

(e) resell or sublicense the Service, or use it to build a competing product;

(f) put payment card numbers, passwords or other secrets into the Service, or more personal data than the Service needs.

We may suspend access that breaches this Section to protect the Service or other customers. We’ll tell you why unless the law or security prevents it.

8. Our intellectual property

8.1 The Service, including its software, design and content (but not your Customer Data), belongs to us and our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription.

8.2 Feedback. If you send us suggestions, we may use them without obligation to you.

9. Confidentiality

Each of us will protect the other’s non-public business information that it receives in connection with the Service, using at least reasonable care, and use it only for these Terms. This doesn’t cover information that’s public, already known, independently developed, or that must be disclosed by law (with notice where the law allows).

10. Suspension and termination

10.1 You may stop using the Service and cancel at any time (Section 3.6).

10.2 We may suspend or end your access if you materially breach these Terms and don’t fix it within 15 days of our notice. We may act at once for non-payment after notice (Section 3.5), a security risk, or unlawful use.

10.3 When these Terms end, your right to use the Service ends, Section 4.5 governs your data, and Sections 4, 8.2, 9, 11, 12 and 14 survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DON’T WARRANT THAT FORECASTS, RECOMMENDATIONS OR AI OUTPUT WILL BE ACCURATE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of liability

12.1 TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR SALES (INCLUDING STOCK-OUTS OR OVERSTOCK), EVEN IF ADVISED THEY WERE POSSIBLE.

12.2 EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. THIS LIMIT DOESN’T APPLY TO YOUR OBLIGATION TO PAY FEES.

13. Changes to these Terms

We may update these Terms. For a material change, we’ll give at least 30 days’ notice by email or in the Service before it takes effect. If you don’t agree, you can cancel before it takes effect.

14. General

14.1 Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

14.2 Assignment. Neither party may assign these Terms without the other’s consent, except to a successor in a merger or sale of substantially all of its business or assets, with notice.

14.3 Entire agreement. These Terms, our Privacy Policy and any order form are the whole agreement between us about the Service. If they conflict, the order form wins, then these Terms.

14.4 Notices. We send notices to your account email. Send notices to us at support@skucompass.com and SKU Compass Inc., 614 Walmart Dr PMB 214, Farmington, MO 63640.

14.5 If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a right isn’t a waiver. Neither party is liable for delays caused by events beyond its reasonable control. We’re independent contractors, and these Terms create no third-party beneficiaries.
